GoldScrap Calculator Software End User License Agreement (EULA)

IMPORTANT

THIS SOFTWARE END USER LICENSE AGREEMENT ("EULA") IS A LEGAL AGREEMENT BETWEEN YOU AND RED MINIBOX SOFTWARE, INC. (REDMINIBOX). READ IT CAREFULLY BEFORE COMPLETING THE INSTALLATION PROCESS AND USING THE SOFTWARE. IT PROVIDES A LICENSE TO USE THE SOFTWARE AND CONTAINS WARRANTY INFORMATION AND LIABILITY DISCLAIMERS. BY INSTALLING AND USING THE SOFTWARE, YOU ARE CONFIRMING YOUR ACCEPTANCE OF THE SOFTWARE AND AGREEING TO BECOME BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, THEN DO NOT INSTALL THE SOFTWARE.

DEFINITIONS

(a) "Redminibox" means Red MiniBox Software, Inc. and its licensors, if any.

(b) "Software" means only the Redminibox software program(s) and third party software programs, in each case, supplied by Redminibox herewith, and corresponding documentation, associated media, printed materials, and online or electronic documentation.

(c) "Demo Version" means a version of the Software, so identified, to be used only to review, demonstrate and evaluate the Software for a unlimited time period. The Demo Version may have limited features, may lack the ability for the end-user to save the end product, and may cease operating after a predetermined amount of time due to an internal mechanism within the Demo Version. No hard-copy documentation or telephone assistance is available in connection with this free Demo Version.

LICENSE GRANT
Subject to your compliance with the terms of this EULA, Redminibox grants you, the end user, for no charge, a limited, a non-exclusive non-transferable right to execute, display and perform this copy of Software and accompanying soft-copy documentation ("Documentation ") in the country in which you acquired or downloaded the Software and Documentation from the Internet.
(1) You may download the Software and Documentation to any number of machines.
(2) You may use the Software solely for the purposes of testing and evaluating its performance.
(3) You may modify the Software only as permitted in the Documentation, to evaluate its functionality.
(4) You must not assign, sublicense, sell, rent, lease, loan, convey or transfer the Software to any third party, or send or bring the Software out of the country where you originally obtained it to other countries (except as permitted by applicable law), or copy, duplicate, translate or convert the Software or accompanying documentation to another programming language, except as expressly provided herein.
(5) Except as expressly permitted by applicable law, you must not, and must not cause third parties to, alter, modify, disassemble, decompile or otherwise reverse engineer the Software or accompanying documentation.
SUPPORT AND UPDATE
Neither Redminibox, subsidiaries, or affiliates, nor their respective distributors or dealers, are responsible for maintaining or helping you to use the Software. No updates, fixes or support will be made available for the Software.
TERM AND TERMINATION
The term of this license will begin with installation of this product. Redminibox reserves the right to terminate this license at any time. This license will automatically terminate upon your failure to comply with any of the terms of this EULA, whichever comes first. When this license ends, for whatever reason, you must destroy all copies of the Software and Documentation.
OWNERSHIP
All rights, including but not limited to copyrights and trade secret rights, to the Software belong to Redminibox, subsidiaries, affiliates and third party licensors. Your use of the Software is subject to the laws of the United States, and other applicable copyright and trademark laws, and nothing in this EULA constitutes a waiver of the rights of Redminibox, subsidiaries, affiliates and third party licensors under such laws. Except as expressly provided herein, no license or right, express or implied, is hereby conveyed or granted by Redminibox to you for any intellectual property of Redminibox.
Redminibox grants you this license to allow you to determine whether the Software may be useful to you. You may not use the Software or Documentation for any other purpose, and you may not distribute any part of it, either alone or with any other software products which you may distribute.
YOU MUST REPRODUCE THE COPYRIGHT NOTICE AND ANY OTHER LEGEND OF OWNERSHIP ON EACH COPY OR PARTIAL COPY OF THE SOFTWARE OR DOCUMENTATION YOU CREATE.
You may be held legally responsible for any copyright infringement that is caused or encouraged by your failure to abide by the terms of this EULA or any applicable laws. The Software and Documentation are licensed and not sold to you. Redminibox retains title to the Software and Documentation and to any copies you make of them.
LIMITED WARRANTY AND DISCLAIMER OF INDEMNITY
It is your responsibility to choose, maintain and match the hardware and software components of your computer system. Thus, neither Redminibox, subsidiaries, or affiliates, nor their respective distributors or dealers, will guarantee uninterrupted service, the absence or correction of errors, or that the functions or performance of the Software will meet your requirements.
THE SOFTWARE AND DOCUMENTATION ARE PROVIDED "AS-IS," AND REDMINIBOX EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, WITH REGARD TO THE SOFTWARE AND DOCUMENTATION, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF TITLE OR NON-INFRINGEMENT OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
U.S. GOVERNMENT RESTRICTED RIGHTS LEGEND
This EULA is governed by the laws of the U.S. Government. If this is not applicable for the country in which you acquired the Software and Documentation, this EULA is governed by the laws of the country in which you acquired the Software and Documentation or, if the Software and Documentation were downloaded from the Internet, the country in which the receiving computer was located.
SEVERABILITY
In the event that a provision of this EULA is declared or found to be illegal by any court or tribunal of competent jurisdiction, such provision shall be void with respect to the jurisdiction of that court or tribunal and all the remaining provisions of this EULA shall remain in full force and effect.
